# Terms of Service
These terms govern the Leama website and service. Leama is operated and contracted by Prospactive B.V.

## 1. Operator and agreement
Leama is operated by Prospactive B.V., Middelerf 8b, 3851 SP Ermelo, the Netherlands, Chamber of Commerce number 89103548. By creating an account, ordering a paid plan, or using the service, you agree to these terms and the Acceptable Use Policy.
## 2. The service
Leama provides tools for defining prospecting criteria, researching and qualifying business prospects, preparing records, and delivering them through supported workflows. Availability, limits, integrations, and pricing may vary by plan and configuration.
## 3. Accounts
You must provide accurate account information, keep credentials secure, use the service only for an authorized organization, and promptly remove access that is no longer required. You are responsible for activity performed through your account unless caused by Leama's breach.
## 4. Customer responsibilities
- Provide lawful instructions and only connect data or systems you are authorized to use.
- Review prospect accuracy and suitability before outreach or other decisions.
- Maintain suppression lists and comply with privacy, direct-marketing, telecommunications, anti-spam, employment, and platform rules that apply to your use.
- Do not treat a returned email address or public profile as proof of consent, permission, or current accuracy.
- Do not use Leama for sensitive targeting, unlawful discrimination, deception, harassment, surveillance, or high-impact automated decisions.
## 5. Customer data and privacy
You retain rights in data and instructions you submit. You authorize Prospactive B.V. and its service providers to process them to provide, secure, support, and improve the service. Where Prospactive B.V. acts as processor, contact us for the current data-processing terms.
## 6. Fees, renewals, cancellation, and refunds
Current prices, included usage, renewal terms, taxes, and any trial are shown in the production checkout or order. Subscriptions continue for the selected term until cancelled. The billing portal shows when a cancellation or plan change takes effect. Refunds are provided only where the order, mandatory law, or a written agreement requires them.
## 7. Intellectual property and feedback
Prospactive B.V. and its licensors retain rights in Leama, its software, design, documentation, and service-generated systems. You receive a limited, non-exclusive, non-transferable right to use the service during the applicable term. Feedback may be used without obligation, provided it does not identify you as endorsing Leama without permission.
## 8. Third-party services
Connected services such as authentication, payment, CRM, AI, or delivery providers are subject to their own terms. Leama is not responsible for a third party's independent service, but remains responsible for its own contractual obligations.
## 9. Suspension and termination
Access may be limited or suspended to address security risk, unlawful use, material breach, non-payment, or service integrity. Where practical, notice and an opportunity to cure will be provided. You may stop using the service and cancel a paid subscription through the available account or billing controls.
## 10. Disclaimers
Prospect data can be incomplete, unavailable, or outdated. Leama does not guarantee a specific number of matches in every market or any outreach, meeting, conversion, or revenue result. The service is provided with reasonable care but without warranties that cannot lawfully be excluded.
## 11. Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Prospactive B.V.'s aggregate liability arising from the paid service is limited to fees paid for the affected service during the twelve months before the event, except where liability cannot lawfully be limited, including for intent or deliberate recklessness.
## 12. Governing law and contact
These terms are governed by Dutch law. Courts in the Netherlands have jurisdiction unless mandatory law requires otherwise. Questions can be sent to jessy@prospactive.nl.
